Welcome to Autobell Technologies. By accessing or using our website, products, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Acceptance of Terms
By creating an account, accessing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree, you may not use our Services.
2. Description of Services
Autobell Technologies provides a suite of educational and administrative software solutions, including but not limited to:
- Brominon Remote Exams: AI-powered exam generation and marking for CBC and 8-4-4 curricula.
- GradeAnalytics: Performance visualization and reporting tools.
- Library Management System: Digital catalog and borrowing platform.
- Bulk SMS Platform: Communication tools for schools and organizations.
- SmartSiteBuilder: Website creation platform.
- Primordial Intelligence: Advanced AI analytics and neural archeology tools.
- Attendance & SMS Automation: Real-time attendance tracking and alerts.
- AI Tutor (CBC): Virtual learning assistant with experiments and simulations.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.
3. Eligibility
You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a school or organization, you represent that you have authority to bind that entity to these Terms.
4. Account Registration and Security
To access certain features, you may need to create an account. You agree to:
- Provide accurate, current, and complete information.
- Maintain and update your information as needed.
- Keep your login credentials confidential.
- Notify us immediately of any unauthorized use of your account.
You are responsible for all activities that occur under your account. Autobell Technologies is not liable for any loss or damage arising from your failure to protect your account.
5. Payment and Subscription Terms
5.1 Pricing
Our Services are offered on a subscription basis. Current pricing for Brominon Remote Exams (annual licensing):
- Standard (≤600 students): KES 40,000/year – includes 5,000 AI markings
- Premium (601–1,200 students): KES 50,000/year – includes 12,000 AI markings
- Enterprise (1,201+ students): KES 60,000/year – includes 25,000 AI markings
Additional AI or SMS credits may be purchased separately. Prices are subject to change with 30 days' notice.
5.2 Payment
Payments are processed via M-Pesa or other approved methods. Fees are non-refundable except as required by law. Subscriptions automatically renew unless canceled before the renewal date.
6. Acceptable Use Policy
You agree not to:
- Use the Services for any illegal purpose or in violation of any laws.
- Attempt to gain unauthorized access to any part of the Services.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or extract source code from our software.
- Use the Services to transmit malware, spam, or harmful code.
- Impersonate any person or entity or misrepresent your affiliation.
Violation may result in immediate termination of your account and legal action.
7. Intellectual Property Rights
All content, software, trademarks, and intellectual property provided through our Services are owned by Autobell Technologies or our licensors. You may not copy, modify, distribute, sell, or lease any part of our Services without explicit written permission.
You retain ownership of any content you submit (e.g., exam questions, student data). By submitting content, you grant us a license to host, store, and process it solely to provide the Services to you.
8. Data Privacy and Security
Our privacy practices are outlined in our Privacy Policy, which is incorporated into these Terms. You consent to the collection and use of your data as described therein. We implement reasonable security measures but cannot guarantee absolute security.
9. Third-Party Links and Services
Our Services may contain links to third-party websites or services (e.g., payment processors). We are not responsible for their content, privacy practices, or terms. Your use of third-party services is at your own risk.
10. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. You may cancel your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AUTOBELL TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOBELL TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Autobell Technologies, its employees, and affiliates from any claims, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.
14. Modification of Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Republic of Kenya. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Nairobi, Kenya, in accordance with the rules of the Nairobi Centre for International Arbitration. Each party shall bear its own costs, except as otherwise determined by the arbitrator.
